These Terms & Conditions ("Agreement") govern the relationship between Angsana ("we", "us", "our") and any individual or business ("Client", "you", "your") that engages our advisory or consulting services. By proceeding with an engagement, you acknowledge that you have read and agree to be bound by these terms. SECTION 01
Definitions
For the purposes of this Agreement, the following terms carry the meanings set out below:
- "Agreement" — this Terms & Conditions document in its current or updated form.
- "Angsana" — the consulting practice operating under the name Angsana, with its registered address at No. 16, Jalan Bukit Bintang, 55100 Kuala Lumpur, Malaysia.
- "Service" — any advisory, consulting or planning engagement offered by Angsana, including but not limited to First Stitch, Seam Review, and Tailored Partnership.
- "Client" — any individual, sole trader, partnership or registered company that engages Angsana for a Service.
- "Deliverable" — any written plan, summary, report or document produced by Angsana in the course of a Service engagement.
- "Engagement" — a specific instance of a Service, initiated when both parties agree to proceed and payment is received.
- "Session" — a scheduled meeting, call or working conversation between Angsana and the Client as part of an Engagement.
- "Fees" — the monetary amounts payable by the Client in exchange for a Service, as listed on the Angsana website or communicated in writing.
SECTION 02
Acceptance of Terms
By submitting an enquiry, confirming an engagement, or making payment to Angsana, you confirm that you have read, understood and accepted this Agreement in full.
- You must be at least 18 years of age to engage our services.
- If you are engaging on behalf of a company or organisation, you confirm that you have the authority to bind that entity to this Agreement.
- Your continued participation in a Service constitutes ongoing acceptance of these terms, including any updates communicated during the engagement.
SECTION 03
Service Description
Angsana provides business advisory and consulting services to small business owners and early-stage operators in Malaysia. Our three service tiers are described below:
- First Stitch (RM 690) — A single-session engagement suited to early-stage owners seeking a starting point. Includes one working conversation, a one-page plan and a short list of next considerations.
- Seam Review (RM 1,750) — A four-week engagement that reviews weak points in an existing business. Includes a written assessment and two sessions.
- Tailored Partnership (RM 3,380) — A six-month advisory relationship with monthly sessions, quarterly reviews and steady support tailored to the Client's specific business.
Services are delivered in English and are intended for businesses operating within Malaysia. We may, at our discretion, work with Clients outside Malaysia on a case-by-case basis.
Angsana reserves the right to adjust the scope of any Service where materially different conditions are discovered after commencement. Any significant scope changes will be discussed and agreed in writing before proceeding.
SECTION 04
Client Responsibilities
To allow Angsana to serve you well, we ask that Clients:
- Provide accurate, honest and complete information about their business situation, finances and objectives.
- Attend scheduled sessions on time or give reasonable notice (at least 24 hours) when rescheduling is needed.
- Respond to requests for information or documents within a reasonable timeframe to avoid delays.
- Use any Deliverables and advice received for lawful purposes only.
- Refrain from sharing, reproducing or distributing Angsana's proprietary materials without prior written consent.
- Treat all Angsana personnel with respect during sessions and communications.
We understand that running a small business is demanding. Where possible, we will work around your schedule and circumstances. Mutual respect and candid communication make every engagement more productive.
SECTION 05
Intellectual Property
All methodologies, frameworks, templates and approaches used by Angsana in the delivery of its Services remain the intellectual property of Angsana.
Upon full payment of Fees, Clients receive a limited, non-exclusive, non-transferable licence to use any Deliverables produced specifically for them, solely for the operation of their own business.
- Deliverables may not be resold, sublicensed or shared with third parties without written consent from Angsana.
- General frameworks or templates used across multiple engagements remain the property of Angsana, even if incorporated into a Client Deliverable.
- Any ideas, business information or materials shared by the Client during sessions remain the property of the Client.
SECTION 06
Payment Terms
All fees are quoted and payable in Malaysian Ringgit (RM). Current pricing for each Service tier is displayed on our website at angsana.blog.
- First Stitch (RM 690) — Full payment required prior to the first session.
- Seam Review (RM 1,750) — Full payment required prior to commencement.
- Tailored Partnership (RM 3,380) — Payment may be made in full upfront or as two equal instalments at commencement and at month three. Please discuss with us before confirming.
Accepted payment methods will be communicated at the time of engagement confirmation. Late payments may result in the suspension of scheduled sessions until the outstanding amount is settled.
Refund Policy: Where a Client cancels before a first session has taken place, a refund of 80% of the Fee paid will be issued. Once a session has occurred, Fees paid are non-refundable, as preparation and consultation time has already been committed. We will always try to work through any concerns before a cancellation is considered.
SECTION 07
Engagement Terms
Each Service engagement is governed by the following operational terms:
- Sessions are conducted via video call or in person at a mutually agreed location. Travel fees may apply for in-person sessions outside of Kuala Lumpur city centre.
- Session recordings are not made by Angsana without explicit consent from the Client.
- Deliverables are provided digitally in PDF or similar format unless otherwise agreed.
- Angsana will endeavour to respond to Client communications within two working days.
- Sessions must be used within the timeframe of the engagement. Unused sessions do not roll over after the engagement period unless separately agreed in writing.
- Angsana treats all Client information as confidential and will not disclose it to third parties without consent, except where required by law.
SECTION 08
Disclaimers
Angsana's services are advisory in nature. While we bring care, experience and attention to every engagement, we are not able to provide any assurance of particular commercial outcomes.
- Advice provided by Angsana is based on information supplied by the Client and reflects professional judgement, not a commitment to any specific result.
- Nothing in our Services constitutes legal, tax, financial or accounting advice. Clients should consult appropriately qualified professionals for such matters.
- Business outcomes depend on many factors outside Angsana's control, including market conditions, Client decisions and third-party actions.
- Services are provided "as is" and to the best of our current professional ability.
SECTION 09
Limitation of Liability
To the fullest extent permitted under Malaysian law, Angsana's total liability to any Client in connection with a Service shall not exceed the Fees actually paid by that Client for the relevant engagement.
- Angsana is not liable for any indirect, consequential, special or incidental losses, including loss of profit, loss of revenue or loss of business opportunity.
- This limitation applies regardless of the form of claim, whether in contract, tort or otherwise.
- Nothing in this Agreement limits liability for fraud, gross negligence, or death or personal injury caused by Angsana's proven negligence.
- Force majeure events — including natural disasters, government directives, illness or other circumstances beyond reasonable control — may suspend obligations without liability.
SECTION 10
Indemnification
The Client agrees to indemnify and hold harmless Angsana, its advisors and associates from any claim, loss, damage or expense — including reasonable legal costs — arising from:
- The Client's misuse or misapplication of any Deliverable or advice received.
- The Client's breach of any obligation in this Agreement.
- Any false or misleading information provided to Angsana during an engagement.
- Any claim by a third party arising from the Client's business decisions made following the engagement.
SECTION 11
Termination
Either party may terminate an engagement by giving written notice under the following conditions:
- Client-initiated termination: The Client may request early termination at any time. Fees paid for sessions already conducted will not be refunded. For longer engagements, a pro-rata assessment will be made based on work completed.
- Angsana-initiated termination: We reserve the right to end an engagement where a Client breaches these terms, withholds material information, or where we reasonably determine that continuing the engagement would not be beneficial. In such cases, a partial refund proportional to unused sessions will be issued.
Upon termination, obligations of confidentiality and intellectual property restrictions survive indefinitely. Payment obligations for work already completed survive termination.
SECTION 12
Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with a Service shall be subject to the jurisdiction of the courts of Malaysia.
Before commencing any formal proceedings, we ask that both parties make a sincere effort to resolve the matter directly:
- The Client should first contact us at [email protected] to describe the concern in writing.
- We will acknowledge receipt within three working days and propose a meeting or call to discuss the matter.
- Both parties agree to engage in good-faith discussion for at least 21 days before pursuing any formal legal route.
- If informal resolution is unsuccessful, either party may refer the matter to mediation under the auspices of the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, before proceeding to litigation.
SECTION 13
General Provisions
- Entire Agreement: This Agreement, together with any engagement confirmation sent in writing, constitutes the entire agreement between the parties regarding the relevant Service.
- Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full effect.
- Waiver: A failure to enforce any right under this Agreement at a particular time does not constitute a permanent waiver of that right.
- Assignment: The Client may not assign or transfer any rights or obligations under this Agreement without prior written consent from Angsana. Angsana may engage qualified associates to assist in delivering a Service, provided Client confidentiality is maintained.
- Notices: Formal notices under this Agreement should be sent to [email protected] or by post to our registered address.
SECTION 14
Changes to These Terms
Angsana may update these Terms & Conditions from time to time to reflect changes in our services, operating practices or legal requirements. When we do:
- The updated version will be published on our website with a revised "Last Updated" date.
- For Clients in an active engagement, we will notify you by email if any change materially affects your rights or obligations.
- Continued use of our services after the effective date of any update constitutes acceptance of the revised terms.
